IMPORTANT: The Company provides educational and informational content primarily for the purpose of generating interest in and facilitating discussions regarding life insurance products, including indexed universal life (“IUL”) insurance. Nothing contained in any Company content, communication, presentation, guide, webinar, consultation, advertisement, or other material constitutes legal, tax, accounting, investment, securities, fiduciary, or other professional advice.

Insurance products are subject to underwriting, policy terms, contractual provisions, carrier requirements, applicable law, and individual circumstances. No particular policy, premium, death benefit, cash-value performance, policy loan result, tax treatment, or other outcome is guaranteed.

You are solely responsible for conducting your own due diligence and obtaining independent professional advice before making financial, insurance, tax, legal, or other consequential decisions.

4. EDUCATIONAL PURPOSE ONLY

All free information, educational materials, lead magnets, webinars, guides, presentations, advertisements, consultations, and other Content are provided for general educational and informational purposes.

The purpose of the Content is to help Users understand general concepts and identify questions they may wish to discuss with qualified professionals.

The Content is not intended to constitute personalized financial advice, investment advice, legal advice, tax advice, accounting advice, fiduciary advice, securities advice, estate-planning advice, or any other professional advice.

General educational information does not establish a professional-client, fiduciary, advisory, attorney-client, accountant-client, or tax-advisor relationship.

Any discussion of an insurance product does not constitute a guarantee that such product is suitable, available, affordable, or appropriate for you.

5. NO PROFESSIONAL ADVICE

5.1 No Legal Advice

The Company is not providing legal advice. No Content should be interpreted as legal advice or as a substitute for consultation with a licensed attorney.

Users should consult their own attorney concerning estate planning, trusts, ownership structures, beneficiary designations, contractual matters, business structures, asset protection, or other legal issues.

5.2 No Tax Advice

The Company does not provide individualized tax advice.

Tax treatment of life insurance products may depend on numerous factors, including applicable federal and state tax law, policy structure, ownership, withdrawals, loans, surrender, modified endowment contract status, premiums paid, policy performance, and the circumstances of the policy owner.

Users should consult a qualified tax professional regarding the tax consequences of any proposed transaction.

Where applicable, the insurance carrier's policy and related contractual documents control over generalized educational or marketing information.

6.5 Licensing and Jurisdiction

Insurance transactions may only be conducted by persons properly licensed or otherwise authorized under applicable law for the relevant jurisdiction and product.

The Company does not represent that every insurance product or service discussed is available in every state.

7. NO GUARANTEES AND NO INCOME CLAIMS

8. USER RESPONSIBILITY AND INDEPENDENT DUE DILIGENCE

You acknowledge that financial and insurance decisions involve risk and uncertainty.

You are solely responsible for evaluating whether any insurance product, strategy, policy structure, premium level, or other financial decision is appropriate for your circumstances.

10. LEAD MAGNET AND FREE CONTENT DISCLAIMER

The Company may provide free educational materials in exchange for contact information.

Such materials may include guides, reports, checklists, webinars, videos, consultations, worksheets, educational presentations, calculators, or similar resources.

Free Content is provided “AS IS” and “AS AVAILABLE” for general informational purposes.

Receipt of free Content does not create an obligation for the Company to provide any insurance product, policy, service, consultation, or future communication.

The Company may update, replace, withdraw, or discontinue free Content at any time.

You agree that you will not treat free Content as individualized professional advice.

11. PAYMENTS AND PAYMENT TERMS

Where paid products or services are offered, all prices, fees, payment schedules, subscriptions, and applicable taxes will be disclosed at or before the time of purchase.

Unless otherwise expressly stated in writing:

Payment obligations are due according to the terms presented at purchase;

You authorize the applicable payment provider to process authorized charges;

The Company may use third-party payment processors.

The Company is not responsible for unauthorized charges resulting from a User's failure to protect account, payment, or login credentials.

12. REFUND POLICY

ALL PURCHASES ARE NON-REFUNDABLE UNLESS EXPRESSLY STATED OTHERWISE IN WRITING AT THE TIME OF PURCHASE.

Where a specific product or service includes a written refund policy, that policy will govern the applicable purchase to the extent permitted by law.

No refund will be owed merely because:

A User does not use purchased Content;

A User changes their mind;

A User does not achieve a desired financial outcome;

A User does not qualify for an insurance product;

An insurance application is declined;

An insurance policy does not perform as expected;

A User disagrees with educational Content; or

Nothing in this Section limits any non-waivable consumer rights provided by applicable law.

13. COMMUNICATIONS CONSENT

By voluntarily submitting your telephone number, email address, or other contact information through a Company website, landing page, form, advertisement, lead magnet, consultation request, webinar registration, or other lead-generation mechanism, you expressly consent to receive communications from the Company and its authorized representatives, subject to applicable law.

Where required by applicable law, your consent constitutes prior express written consent to receive telemarketing calls and text messages, including calls and texts made using automated technology, an autodialing system, prerecorded voice, artificial or prerecorded voice, or similar technology, at the telephone number you provide.

You understand that consent is not a condition of purchasing any goods or services.

You further understand that message and data rates may apply depending upon your mobile carrier or telecommunications provider.

The number and frequency of communications may vary.

13.2 Consent Is Not a Condition of Purchase

You may decline marketing communications without being denied access to goods or services solely because you declined such communications, except where a particular communication is reasonably necessary to provide a service you requested.

13.3 Accuracy of Contact Information

You represent that any telephone number or email address you provide belongs to you or that you are otherwise authorized to provide it.

You agree not to submit another person's telephone number or contact information without authorization.

The Company may limit, suspend, or discontinue automated communications where required by applicable law or where consent cannot be reasonably established.

14. OPT-OUT AND REVOCATION OF CONSENT

You may revoke consent to marketing calls or text messages at any time by using a reasonable method clearly communicating your desire to stop receiving such communications.

For text messages, you may reply with “STOP,” “UNSUBSCRIBE,” “CANCEL,” “END,” “QUIT,” or another clear request to discontinue messages.

You may also request removal from marketing communications by contacting:

Email: [email protected]
Phone: +1-704-929-4319

You understand that revocation of marketing consent does not necessarily terminate communications that are reasonably necessary to fulfill a transaction, provide a requested service, respond to a customer inquiry, administer an existing relationship, or comply with legal obligations, where such communications are legally permitted.

The Company will process valid revocation requests in accordance with applicable law.

You acknowledge that withdrawing consent does not retroactively invalidate communications previously sent pursuant to valid consent.

You shall not use Company Content to:

The Company does not control and is not responsible for third-party websites, content, policies, security practices, products, services, representations, or actions.

Your use of third-party services is governed by the applicable third party's terms and privacy policies.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, REPRESENTATIVES, LICENSORS, SERVICE PROVIDERS, AND BUSINESS PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER NON-DIRECT DAMAGES ARISING FROM OR RELATING TO:

This limitation applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability, statute, equity, or otherwise, to the maximum extent permitted by law.

Nothing in this Agreement limits liability that cannot legally be limited or excluded.

22. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company and its owners, officers, directors, employees, agents, contractors, affiliates, representatives, licensors, and service providers from and against any claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

This release does not waive claims that cannot legally be waived.

24. ARBITRATION AGREEMENT

24.1 Agreement to Arbitrate

Except for claims expressly excluded below, any dispute, controversy, or claim arising out of or relating to this Agreement, the Services, Company Content, communications, purchases, or the relationship between you and the Company shall be resolved through binding individual arbitration rather than in court.

The arbitration shall take place in or near Sheridan, Wyoming, unless the parties mutually agree otherwise or applicable law requires another location or procedure.

The Federal Arbitration Act (“FAA”) shall govern the interpretation and enforcement of this arbitration provision to the extent applicable.

24.2 Arbitrator

The arbitration shall be conducted by a neutral arbitrator selected in accordance with the applicable arbitration provider's rules or by mutual agreement of the parties.

The arbitrator shall have authority to award relief that would otherwise be available in an individual court proceeding, subject to the limitations contained in this Agreement and applicable law.

24.3 Individual Arbitration Only

The arbitration shall be conducted solely on an individual basis.

Neither you nor the Company may participate in or bring a claim as a plaintiff, claimant, class member, representative, private attorney general, or participant in any purported class, collective, consolidated, or representative proceeding to the extent such waiver is enforceable under applicable law.

24.4 Small Claims Exception

Nothing in this Agreement prevents either party from pursuing an individual claim in a small-claims court if the claim qualifies under the applicable court's jurisdictional requirements and is pursued solely on an individual basis.

24.5 Injunctive Relief Concerning Intellectual Property

Nothing in this Agreement prevents the Company from seeking temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, trade secrets, or against unauthorized use of Company Content where permitted by law.

25. WAIVER OF JURY TRIAL

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND THE COMPANY KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING THAT IS NOT REQUIRED TO BE SUBMITTED TO BINDING ARBITRATION.

This waiver is intended to apply to all disputes arising from or relating to this Agreement, the Services, Content, communications, purchases, or the parties' relationship, to the maximum extent permitted by law.

26. CLASS ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS MEMBER, CLASS REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR PARTICIPANT IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Unless otherwise required by applicable law, the arbitrator may not combine claims of multiple individuals or preside over any representative, class, or collective proceeding.

27. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-law principles, except to the extent federal law controls or applicable law requires otherwise.

The parties acknowledge that federal law, including the Federal Arbitration Act where applicable, may govern specific provisions of this Agreement.

Nothing in this Section is intended to deprive a consumer of any non-waivable rights or protections provided by applicable law.

28. MODIFICATION OF TERMS

The Company reserves the right to modify, amend, supplement, or replace these Terms at any time.

Updated Terms will become effective when posted or otherwise made available, unless a different effective date is expressly stated.

Your continued use of Company Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

If a material modification requires affirmative consent under applicable law, the Company may request such consent separately.

29. SEVERABILITY

If any provision of this Agreement is determined to be invalid, unlawful, void, or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

If any portion of the arbitration provision, jury waiver, class action waiver, liability limitation, or indemnification provision is found unenforceable, the remaining enforceable portions shall remain effective to the fullest extent permitted by law.

30. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and the Company concerning the subject matter addressed herein and supersedes all prior or contemporaneous understandings, representations, communications, proposals, and agreements concerning such subject matter, except for any separate written agreement expressly executed by the parties.

Any additional terms presented at the time of purchase, registration, appointment scheduling, or use of a particular Service may supplement this Agreement and shall control solely with respect to the specific transaction where expressly stated.

31. NO WAIVER

The Company's failure to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce that provision in the future.

No waiver shall be effective unless made in writing by an authorized representative of the Company.

32. ASSIGNMENT

You may not assign, transfer, delegate, or otherwise convey your rights or obligations under this Agreement without the Company's prior written consent.

The Company may assign or transfer this Agreement, in whole or in part, to an affiliate, successor, purchaser, or other entity in connection with a merger, acquisition, reorganization, sale of assets, or other business transaction.

33. ELECTRONIC ACCEPTANCE

You agree that electronic acceptance, including checking a box, clicking an acceptance button, submitting a form, electronically signing a document, scheduling an appointment, purchasing a Service, downloading Content, or continuing to use Company Services after being presented with these Terms, may constitute legally binding acceptance to the extent permitted by applicable law.

You consent to conduct transactions and receive records electronically where legally permitted.

34. NO RELATIONSHIP CREATED BY EDUCATIONAL CONTENT

Your receipt or use of Company Content does not create an attorney-client relationship, accountant-client relationship, tax-advisor relationship, investment-advisory relationship, fiduciary relationship, employment relationship, partnership, joint venture, agency relationship, or other professional relationship except as expressly established by a separate written agreement or as otherwise required by applicable law.

Any insurance relationship is subject to applicable licensing requirements and the terms governing the particular insurance transaction.

35. PRIVACY AND PERSONAL INFORMATION

The Company may collect personal information submitted through websites, forms, advertisements, consultations, communications, and other lead-generation mechanisms.

Users should not submit sensitive personal information through an unsecured form or communication channel unless specifically requested and authorized by the Company.

Where applicable, collection and use of personal information will also be governed by the Company's Privacy Policy and other applicable disclosures.

Nothing in this Agreement authorizes the Company to use personal information in violation of applicable privacy, consumer-protection, insurance, telecommunications, or marketing laws.

36. COMPLIANCE WITH LAW

The Company intends to conduct its business in accordance with applicable federal and state laws and regulations.

Because insurance, advertising, telecommunications, privacy, consumer-protection, tax, and financial-services laws may vary by jurisdiction and may change over time, no provision of this Agreement shall be interpreted as permitting conduct prohibited by applicable law.

Where a provision of this Agreement conflicts with a mandatory provision of applicable law, the mandatory legal requirement shall control to the extent of the conflict.

37. NO UNAUTHORIZED RELIANCE

You expressly agree that you will not represent to any third party that the Company has provided individualized legal, tax, investment, securities, fiduciary, accounting, or other professional advice merely because you received or discussed Company Content.

You further agree that you will not use Company Content as the sole basis for making a financial or insurance decision where independent professional evaluation would reasonably be appropriate.

The Company is not responsible for decisions made by you or by third parties based upon your interpretation, modification, redistribution, or misuse of Company Content.

Disclaimer of Warranties;

Limitation of Liability;

Indemnification;

Release;

Arbitration;

Jury Trial Waiver;
